Welcome to Podium HQ. These Terms of Service ("Terms") govern your access to and use of our mobile application, website, and related services (collectively, the "Service").

By creating an account or using Podium HQ, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of significant changes through the app or email. Your continued use after changes become effective constitutes acceptance of the updated Terms.

2. Description of Service

Podium HQ is a comprehensive coaching and athletic training platform that enables:

• Coaches to create and manage teams, organizations, and training programs
• Athletes to track workouts, performance metrics, and training progress
• Communication between coaches and athletes
• Calendar management for events and training sessions
• Content library management for exercises, workouts, and resources
• Gamification features for athlete engagement

3. Eligibility

You must be at least 13 years of age to use Podium HQ. If you are between 13 and 18 years old, you must have parental or guardian consent to use the Service.

Organizations using Podium HQ with minors are responsible for:

• Obtaining appropriate parental consent
• Complying with applicable child protection laws
• Ensuring appropriate supervision and use

4. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited activities.

5. User Roles and Responsibilities

5.1 Coaches and Administrators

As a coach or administrator, you are responsible for:

• Managing team members and access permissions appropriately
• Creating appropriate and safe training content
• Maintaining professional conduct in communications
• Complying with applicable regulations for coaching minors
• Ensuring your organization complies with these Terms

5.2 Athletes

As an athlete, you are responsible for:

• Using the Service in accordance with your coach's guidance
• Accurately logging training activities
• Maintaining respectful communication
• Consulting healthcare professionals before starting new training programs

6. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Harass, abuse, or harm another person
• Impersonate others or provide false information
• Send spam or unsolicited communications
• Upload malicious code or interfere with the Service
• Circumvent security measures or access restrictions
• Share inappropriate or offensive content
• Infringe on intellectual property rights
• Collect user data without authorization
• Use the Service for unauthorized commercial purposes

7. User Content

7.1 Your Content

You retain ownership of content you create and upload to the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your content as necessary to provide the Service.

7.2 Content Responsibility

You are solely responsible for your User Content. You represent that:

• You own or have rights to use and share the content
• Your content does not infringe any third-party rights
• Your content complies with these Terms

We reserve the right to remove or disable access to any User Content that violates these Terms, without prior notice.

8. Subscriptions and Payments

8.1 Subscription Plans

Some features of the Service require a paid subscription. Subscription details, pricing, and features are displayed within the app and on our website.

8.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Payment is processed through the App Store, Google Play Store, or our web payment provider.

8.3 Cancellation

You may cancel your subscription at any time through your app store account settings or within the app. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

8.4 Price Changes

We reserve the right to change subscription prices. We will provide notice of price changes before they take effect.

9. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by Podium HQ and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

10. Health and Fitness Disclaimer

• Always consult a physician before starting any exercise program
• Training content is for informational purposes only
• Stop exercising immediately if you experience pain, discomfort, or unusual symptoms
• We are not responsible for any injuries resulting from workouts or training programs

By using the Service, you acknowledge that physical activity involves inherent risks and assume responsibility for your own health and safety.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• UNINTERRUPTED OR ERROR-FREE OPERATION
• ACCURACY OR RELIABILITY OF CONTENT
• FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PODIUM HQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of data or profits
• Personal injury or property damage
• Unauthorized access to your data
• Interruption of service

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Podium HQ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time through the app settings.

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your User Content
• Provisions that should survive termination will remain in effect

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the appropriate courts.

16. Dispute Resolution

Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us at support@podiumhq.app. If we cannot resolve the dispute within 30 days, either party may proceed with formal legal action.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Podium HQ regarding the Service and supersede all prior agreements.
